Authorized signatories for the University of Hawaii are the President and the Vice President for Research and their designees (Director, Office of Research Services). For agreements under $1 million, use Director, Office of Research Services.
Essential elements of a contract or agreement should include:
parties involved
scope of work and any deliverables
period of performance
compensation and method of payment
identification of funds, federal, state, county, or private
reporting requirements, if any.
Statutory and University policies to consider:
The University is not authorized to accept provisions requiring the University to indemnify an outside party. Based upon the potential risk involved in a project, the University may require some sponsors to indemnify the University.
The University operates primarily on a self-insured basis.
Governing law and jurisdiction should be Hawaii; avoid binding arbitration.
Confidentiality and non-disclosure requirements must conform to statutory requirements contained in the Hawaii Revised Statutes, Chapter 92F and BOR policies.
To the extent possible, research should be conducted on a “reasonable effort” basis. Warranties and liquidated damages should be avoided.
The compensation section should include the amount of funding available and the method of compensation, including how and when the University will be paid; limitations to the use of funds, if any; and any requirements to return funds at termination of project. If the intent is to have a fixed-price contract, then ensure that the term fixed price is used and tied to the payment provisions.
Type of funding determines the appropriate indirect cost rate and the treatment of funds for accounting, compliance, and audit purposes.
