Unfunded Research Agreements

  • Purpose

    A legal contract between two or more parties intending to share confidential material, knowledge, or information with one another for certain purposes, but wish to restrict access to, or by, third parties. An NDA/CDA creates a confidential relationship between the parties to protect any type of confidential and/or proprietary information or trade secrets.

    Types of NDAs and CDAs
    • One-Way (Unilateral)
      Used when one party is providing confidential information and will not receive confidential information from the other party.
    • Two-Way/Mutual (Bilateral)
      Used when both parties are providing confidential information to each other.
    • Multi-Party
      Used when three or more parties are providing confidential information to one another.

  • Purpose

    A legal contract between two or more parties that governs the transfer of research materials, when the recipient intends to use the disclosing party’s material for his or her own research purposes. An MTA defines the rights of the disclosing party and the recipient with respect to material and derivative materials, if appropriate.

    Types of MTAs
    • One-Way (Unilateral)
      Used when one party is providing research materials and will not receive research materials from the other party.
    • Two-Way/Mutual (Bilateral)
      Used when both parties are providing research materials to each other.
    • Multi-Party
      Used when three or more parties are providing research materials to one another.
    • Simple Letter Agreement (SLA)
      The simplest standard agreement to accomplish a basic material transfer between research institutions.
    • Uniform Biological Material Transfer Agreement (UBMTA)
      Used if the transferred material may be subject to patent protection; also used for patented as well as unpatented materials. Both institutions must be signatories to the UBMTA to execute this Agreement.

  • Purpose

    A document that outlines certain understandings between two or more parties before a formal contract is finalized. Normally, these agreements do not constitute a definitive contract, but signifies a genuine interest and intent to execute a future contract with specific terms and deliverables.

  • Purpose

    A document describing a cooperative relationship between two parties who wish to work together on a project or to meet an agreed upon objective.

  • Purpose

    A legal contract between at least two parties that governs the legal obligations and restrictions, as well as compliance with applicable laws and regulations, related to the transfer and/or use of human subject data.

    The review and negotiation of Data Use Agreements (DUAs) and Data Sharing Agreements (DSAs) will be performed by the the Office of the Vice President for Information and Technology and Chief Information Officer (OVPIT/CIO). For questions regarding DUAs and DSAs, please contact the OVPIT/CIO at (808) 956-3501.

NOTE:  CONFIDENTIAL INFORMATION and/or MATERIAL shall not be shared until the agreement has been signed by all parties.
